Tata Sons board clash: shareholders challenge chairman's reappointment and stock listing plan
Tata Sons' board reappointed N Chandrasekaran as chairman and backed a stock market listing, but top shareholder Tata Trusts calls the move illegal, setting up a potential prolonged legal battle.

Tata Sons, one of India's oldest conglomerates and owner of brands including Jaguar Land Rover and Tetley Tea, saw its board this week defy its largest shareholder by reappointing N Chandrasekaran as chairman for another five years and endorsing a possible public listing of the holding company.
Tata Trusts, which holds 66% of Tata Sons, called the board's decision illegal under the company's articles of association and also opposes the listing plan. The dispute could trigger extended uncertainty and legal proceedings at the company's Mumbai headquarters.
A corporate lawyer noted that the committee which approved Chandrasekaran's reappointment only had the authority to make a recommendation, not a final decision, and argued the move breaches governance rules requiring executives to retire at 65 — an age Chandrasekaran will reach in 2028. His reappointment could still be overturned at the company's annual general meeting, where Tata Trusts is expected to vote against it.
Listing pressure
Since 2022, when India's central bank classified Tata Sons as a systemically important financial company, the group has faced an obligation to list publicly. Tata Sons tried to avoid this by repaying debt, but the central bank recently rejected its request for exemption, pushing the group closer to a stock market debut.
Tata Trusts and some former executives argue a listing would undermine the group's distinctive structure, in which the controlling shareholder is a charitable trust that funds hospitals and universities from dividends. Supporters of a listing counter that it would bring greater transparency to a group whose listed companies are collectively worth more than $260bn and affect millions of investors.
